| Compliance with applicable laws and regulations is a fundamental – if perhaps unglamorous – aspect of any company's business. Mori Hamada & Matsumoto assists its corporate clients in setting up systems designed to try to ensure that officers and employees do not commit violations of laws or regulations and to detect any violations at the earliest possible stage so that timely remedial action can be undertaken. Legal and regulatory compliance procedures must be carefully tailored to the way in which a particular company is structured and operated, meaning that simple knowledge of laws and regulations is insufficient to establish meaningful compliance procedures. In providing compliance-related services, Mori Hamada & Matsumoto works closely with management in designing programs to raise the consciousness of relevant officers and employees of applicable laws and regulations, preparing compliance programs and manuals, participating in compliance committee meetings, setting up remedial measures in case of an occurrence of a noncompliance issue, and acting as a contact point in connection with internal whistle blowing cases. Members of Mori Hamada & Matsumoto often prepare compliance training programs for clients. Some members serve as outside directors or outside corporate auditors to assist in strengthening corporate governance and compliance procedures.
