Osaka Office Starts Operations

Osaka is one of Japan's largest cities and the busy and vibrant commercial hub of the country's western region. On April 1, 2014, the Osaka Office officially starts operations as a branch office of Mori Hamada & Matsumoto LPC. With the opening of this office, Mori Hamada & Matsumoto aims to provide services specifically tailored to its existing clients located in western Japan and to address their needs from within the region.

The Osaka Office will assist clients with the full range of services provided by the firm generally, in fields including mergers & acquisitions, corporate practice, finance, intellectual property, litigation and other forms of dispute resolution, as well as assistance that addresses other legal needs of our clients. For multi-jurisdictional matters, including cross-border mergers & acquisitions and business expansion into Asian markets, the office will provide clients with cutting-edge legal support and services in close coordination with the firm's lawyers in Tokyo and other offices and support desks located within and outside Japan, including those in Beijing, Shanghai, Singapore and Bangkok, as well as the Yangon Office that is due to open in 2014, and in close liaison with other major international law firms.

The Osaka Office will initially be staffed by three of the firm's lawyers - Takuya Eguchi, Co-representative, Hirokazu Hayashi, Co-representative, and Takamasa Sato - who have extensive experience in domestic and international corporate matters, including matters involving China, Asia, US and Europe.

Since joining the firm in 1995, Takuya Eguchi has focused on legal matters involving China and other parts of Asia. He worked at the firm's Beijing Office from 1998 to 2001 and, after study and training in the US, he also trained at local law firms in Thailand and Vietnam. Since returning to Japan, he has, in cooperation with onsite lawyers, provided all-round legal support with respect to matters throughout Asia, including mergers & acquisitions, business reorganizations, joint ventures, various commercial transactions, regulatory compliance and dispute resolutions, including litigations and arbitrations in many Asian countries. He was chosen as one of the best lawyers in Japan in the fields of "International Business Transactions" and "Trade" in The Fourth Edition of "The Best Lawyers in Japan."

Hirokazu Hayashi handles a wide range of corporate matters with a focus on mergers & acquisitions, LBO financing, venture capital and private equity. He has recently been increasingly involved in cross-border mergers & acquisitions, especially those involving acquisitions of US and European companies by Japanese companies. In the field of venture capital and private equity, he provides a variety of legal services encompassing the creation of funds, formulation of investment schemes and common and preferred equity capital structures, and daily legal consultations for venture companies.

Takamasa Sato mainly handles corporate acquisitions, reorganizations, business alliances and other mergers & acquisitions and has been involved in a number of domestic large-scale business combinations, takeover defense measures, and MBO transactions. He is also engaged in a wide range of corporate legal affairs for listed and unlisted companies, particularly in matters related to the Financial Instruments and Exchange Act of Japan, and has recently been active in cross-border transactions involving Asian countries.
